1. Acceptance of Terms

ThetaGo is operated by LevelUp Holdings, LLC, a Wyoming limited liability company ("Company," "we," "us," or "our"). By accessing or using ThetaGo ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. Options trading is not suitable for all investors and requires sufficient financial knowledge and risk tolerance.

3. Description of Service

ThetaGo is an analytical tool that provides covered call option screening and data visualization. The Service analyzes publicly available market data and presents potential trading opportunities for informational purposes only.

Market data is sourced from Yahoo Finance and other third-party providers. ThetaGo is not affiliated with Yahoo, any stock exchange, or any brokerage.

Some features use AI (Claude/GPT) to generate explanations and analysis. AI-generated content may contain errors or inaccuracies. All outputs are generated by algorithms and AI systems that analyze data programmatically and do not consider your personal financial situation, goals, or risk tolerance.

4. Not Financial Advice — Important Disclaimer

Neither the Company nor ThetaGo is a registered investment adviser, broker-dealer, or financial planner. The Company is not registered with the Securities and Exchange Commission (SEC) or the Financial Industry Regulatory Authority (FINRA). The Service does not provide personalized recommendations and does not consider whether any security, strategy, or transaction is suitable for any specific person.

The Company does not have access to your brokerage account, does not execute trades on your behalf, and has no knowledge of your financial situation, risk tolerance, or investment objectives.

You acknowledge that:

• Options trading involves substantial risk of loss, including the potential for total loss of invested capital, and is not suitable for all investors
• Past performance does not guarantee future results
• You have read and understand the risks of options trading before using this Service
• You should consult with a qualified financial advisor before making any investment decisions
• You are solely responsible for your own trading decisions and their outcomes
• All investment decisions should be verified with your broker before execution
• The Service's outputs are generated by algorithms and AI systems, which may contain errors or inaccuracies

5. Subscription and Payment Terms

ThetaGo offers both free and paid subscription tiers. By subscribing to a paid plan ("Pro"), you agree to the following:

• Billing: Pro subscriptions are billed monthly in advance at the rate displayed at checkout. Payments are processed securely by Stripe. The Company does not store your full credit card number.
• Auto-Renewal: Subscriptions automatically renew each billing cycle until cancelled. You authorize us to charge your payment method on file for recurring fees.
• Cancellation: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.
• 30-Day Money-Back Guarantee: If you are not satisfied with your Pro subscription, you may request a full refund within 30 days of your initial purchase. Refund requests after 30 days will not be honored. To request a refund, contact us via the feedback form.
• Price Changes: We reserve the right to change subscription pricing at any time. Price changes take effect at your next billing cycle.
• Failed Payments: If a payment fails, we may retry the charge and/or suspend access to Pro features until payment is resolved.

6. SMS Alerts and Communications

By providing your phone number, you expressly consent to receive automated text messages from ThetaGo at the phone number provided. These messages include login verification codes (required for authentication), and optional trading alerts, account notifications, and updates.

• Message frequency varies based on your settings and market activity
• Message and data rates may apply depending on your mobile carrier
• You may opt out at any time by replying STOP to any message or updating your account settings
• Consent to receive SMS is not a condition of purchasing any service
• We will not share your phone number with third parties for marketing purposes

By opting in, you confirm that you are the owner or authorized user of the phone number provided and that you are authorized to consent to receiving automated text messages.

7. Intellectual Property

The Service and its entire contents, features, and functionality — including but not limited to the scoring algorithms, data models, software, text, graphics, logos, icons, and design — are owned by the Company or its licensors and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use only. You may not:

• Copy, modify, distribute, sell, or lease any part of the Service
• Reverse engineer, decompile, or attempt to extract the source code or underlying algorithms of the Service
• Use any data mining, robots, or similar data gathering methods
• Remove, alter, or obscure any proprietary notices
• Create derivative works based on the Service
• Use the Service to build a competing product or service

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE COMPANY DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY MARKET DATA, ANALYSIS, OR OUTPUT PROVIDED BY THE SERVICE. DATA MAY BE DELAYED, CONTAIN ERRORS, OR BECOME STALE. ALWAYS VERIFY INFORMATION WITH YOUR BROKER BEFORE TRADING.

9. User Accounts

You may create an account to save picks and track outcomes. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to provide accurate information and to update it as necessary. You must notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive behavior.

10. Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or its servers
• Scrape, harvest, or collect data from the Service without permission
• Use automated systems to access the Service in a manner that exceeds reasonable use
• Resell, redistribute, or commercially exploit the Service without authorization
• Impersonate any person or entity

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS MEMBERS, MANAGERS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, RESULTING FROM: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY TRADING DECISIONS YOU MAKE BASED ON THE SERVICE; (C) ANY UNAUTHORIZED ACCESS TO YOUR ACCOUNT; (D) ANY ERRORS OR OMISSIONS IN THE SERVICE'S CONTENT; (E) ANY INTERRUPTION OR CESSATION OF THE SERVICE; OR (F) ANY VIRUSES OR MALICIOUS CODE TRANSMITTED THROUGH THE SERVICE. IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID TO THE COMPANY IN THE PAST TWELVE MONTHS, OR (II) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its members, managers, affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your trading activities; (d) your violation of any rights of a third party; or (e) any content you submit or transmit through the Service.

13. Force Majeure

The Company shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, strikes, power outages, internet or telecommunications failures, third-party API outages (including Yahoo Finance or other data providers), stock exchange closures, market disruptions, cyberattacks, or any other force majeure event.

14. Dispute Resolution

Before initiating any formal dispute resolution, you agree to first contact us via the feedback form and attempt to resolve the dispute informally for at least 30 days.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved through binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures. The arbitration shall be conducted remotely to the extent permitted by the arbitration rules, or if in-person proceedings are required, shall take place in Cheyenne, Wyoming. The arbitrator's decision shall be final and binding.

BY AGREEING TO THESE TERMS, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in Laramie County, Wyoming.

16. Changes to Terms

We may modify these Terms at any time by posting the revised terms on this page. Material changes will be indicated by updating the "Last updated" date. For material changes affecting paid subscribers, we will provide 30 days' notice via email. Continued use of the Service after changes constitutes acceptance of the new Terms.

17. Termination

We reserve the right to suspend or terminate your access to the Service at any time, for any reason, with or without notice. Upon termination, your right to use the Service will immediately cease. Sections 4, 7, 8, 11, 12, 13, 14, and 15 shall survive termination.

18. Assignment

You may not assign or transfer these Terms or your rights hereunder without the Company's prior written consent. The Company may assign or transfer these Terms, in whole or in part, without restriction and without notice to you. Any attempted assignment in violation of this section shall be void.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements and understandings.
